Bob - I proposed what I view as a friendly amendment this morning. Of course it is up to Ross to accept, but let's wait until COB tomorrow to finalize Ross' motion.

Dear Ross: I have not seen any proposed amendments, friendly or
unfriendly. Shall we go with the original tomorrow?
I have heard nothing from Rick about the process for setting up the ballot
in Boardroom.
