How beautiful this writing is/was. When one says something a hundred different ways, every way is right or wrong and no way is right or wrong. A kingdom with too many laws is a kingdom without.
With all the words written there are basic nomenclatura absentia. Sunset, Noncompetition, nondisclosure/confidentiality and willingness to follow the concept of tier negotiations. (nondisclosure/confidentiality, bona fides, MOU, MOA, LOCs, holdharmless, submission to jurisdiction, Corporate Curriculum Vitae, disclosure of principals) As my good friend JW always says good process makes good progress.
Now keep in mind that standard operation procedures (sop) require that i and you {note the intentional reversal} require that yours and mine and hers and his be kept out of the loop of "NEGOTIANS". Such is the right of corporal privacy.

additional criteria need to be developed, or if
