If I were to sit down and look at the very real situation of what ICANN should be achieving, of what the goals were and the differing professional bottom-up and the lay bottom-up wanted I would proceed thusly. Remember I speak only as simple manipulative dotcommoner that wants to achieve only what is in my best interests.
First of all I would agree that I like ICANN for what it is and what it does. Through the most interesting of machinations it has become an industrial standard setting organization that is top heavy, IP oriented, non-transparent and definately ruled by insiders and puppets. It maintains the status quo on behest of the corporations in a fashion that allows the slightest leeway to keep the masses satisfied to a level of servitude and yet does not let the inmates run the asylum Animal Farm style.
 
So I would simply complete the corporate structure. Two subsidiary Corporations. Both would be wholly owned and chartered by ICANN. It would be a true non-profit 501 c (3) completely organized and run by membership. Yes you would have to buy shares/memberships at so much a pop and no one person or entity could own or proxy more than a set number. It would have a board and an assembly and different working groups etc. etc. Everything would be handled like a standard charitible corporation and handled like such. Of course it would have provisions to block capture and of course it would leave out the poorest of the poor unless scholarships or hardship criteria were in place. Its' power and place would be by simple math, as in the popular vote. (note here that ICANN the parent corp could ignore properly passed and drafted resolutions ;-)
The second would be a society of professionals. They must be woman of letters (or perhaps self made experts) Scientists and acadamia if you will. And they would be as most professional groups relegated to and move by that illusive concept of concensus. Of course they would be charitible also and funded by those foundations and bastians of intelligencia that care about the purity of doing something right for its own sake. I imagine they would have a general assembly and standing working groups that mirror all those three, four or five letter groups. Again ICANN could simply ignore their well drafted and properly adopted standards.
Of course both of these could be formed outside of ICANN but that would be a waste. 
But I wonder if all this were done would it change anything?
